Current version – as of August 28, 2026
The current web offering is intended exclusively for entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), legal entities and partnerships with legal capacity. Anyone acting for a company confirms that they have the corresponding authority to represent or contract on its behalf.
Contracts for the web offering are concluded exclusively with the entrepreneurs and organizations specified in Section 1.2. Consumer contracts are not offered.
Marketplace, Need, Expert, Service, matching, brokerage and partner program functions are not covered by these Terms or the offering described here.
Individual agreements take precedence over these Terms. Deviating terms and conditions of the Customer apply only if Needs has expressly agreed to their application.
"Customer" means the natural or legal person that enters into a contract with Needs.
"User" means any natural person who accesses a personal Workspace or a Workspace assigned to a company through their own account.
"Workspace" means the personal or organization-related area in which Users, roles, Chats, Workflows, Connectors and billing are managed.
"AI Agent" means an AI-supported function that processes information, creates suggestions or drafts and may prepare or execute actions within approved rules.
"AI Agent Team" means the central coordination function together with the Specialist Agents enabled for the relevant Workspace.
"Chat" means a conversation with one or more AI Agents. Chats can be shared within the Workspace or set to private.
"Workflow" means a manual or scheduled sequence of AI and tool actions configured and activated by the User. Other triggers apply only where they are expressly offered in the Workspace.
"Connector" means a connection to an external service authorized by the User. An "Action" means a specific operation that can be performed through a Connector.
"Plan" means the agreed scope of services. All in One is billed monthly, Managed Service has a minimum term of six months and Enterprise is agreed individually.
"Included Usage" means the usage included in the Plan. "Credit" means additional usage credit purchased by the Customer or granted by Needs.
"AI Processing Profile" means the organization-wide setting that determines whether the relevant AI requests may be processed exclusively through processing routes confirmed for the European Union or the European Economic Area, or additionally through international providers. The precise scope is set out in the organization settings and the service description.
A User account is required for personalized functions. The User must provide complete and accurate information, verify their email address and protect their login credentials against unauthorized access.
The account use agreement is concluded when registration is confirmed or the Workspace is enabled. An account without an active Plan gives access only to the functions expressly displayed as available.
A paid contract is concluded when the Customer places a binding order for a Plan in the ordering process and Needs confirms the order electronically. Enablement may depend on successful payment.
Before the order is submitted, the Plan, total monthly price, taxes, term, renewal and termination conditions are displayed in particular.
The Customer can review and correct their entries before submitting the order. The order button clearly indicates the payment obligation.
The ordering and payment process is handled through Stripe. The applicable Terms and service description are available electronically before the order is submitted; invoices and payment receipts are provided electronically.
Enterprise and Managed Service may be concluded on the basis of an individual offer and enabled manually.
A Workspace may contain multiple Users with different roles and permissions. The specific scope of permissions is displayed in the Workspace.
Administrators may in particular invite Users, assign roles, change organization-wide settings and manage contracts or additional services. Other roles may use the team or personal functions assigned to them in the Workspace.
The Customer is responsible for assigning and regularly reviewing permissions in its Workspace. Needs remains responsible for the proper technical enforcement of its own role and access system.
Team Workflows belong to the Workspace and may continue to run after their creator leaves. The Customer must therefore review permissions, Connectors and active Workflows when offboarding a User. Personal connections and personal Workflows may be disabled when the User's authorization ends.
Needs provides an AI Agent Team that supports Users through conversations, research, suggestions, drafts, proactive notices, Workflows and approved Connector Actions, among other things.
The specific scope of functions is determined by the agreed Plan, the service description and the functions enabled in the Workspace. Needs owes the provision of these functions, not any particular commercial, professional or other result.
AI outputs are generated using statistical methods and may be incorrect, incomplete, outdated or unsuitable. Professional information does not replace legal, tax, medical or other advice from a suitably qualified person.
Needs identifies interactions with AI Agents as such. The User remains the decision-maker and must review outputs and proposed actions according to their significance.
Compatibility requirements, technical prerequisites, relevant usage limits and any promised availability are set out in the service description provided before the order.
If the AI email mailbox is enabled, AI Agents may draft messages to external recipients on the Customer's behalf, send them under the agreed approvals and process incoming replies. The Customer determines the recipients, purpose and permitted content and ensures the required legal basis and information to data subjects. AI-generated messages may contain errors; the Customer reviews drafts and approvals according to their significance. Liability is governed by Section 23.
Based on the approved Workspace context, AI Agents may proactively suggest notices, tasks or actions. A suggestion alone does not trigger any external or legally relevant action.
Needs recommends an appropriate autonomy level for Connector Actions. Within the available security limits, the User decides whether an Action:
a) is not permitted,
b) must be confirmed each time,
c) is approved once or for a session, or
d) is permanently approved for a specific Agent, Connector or Workflow.
Approvals are limited to the displayed Agent, Connector, account, Workflow and specific Action. They may be withdrawn at any time with effect for the future. Actions already performed are not reversed as a result.
Whether an Action can be permanently approved depends on the policy configured for that specific Action. The interface displays the scope and duration of the approval. Permanent approval is excluded for payments, contract conclusions or other legally binding declarations, irreversible deletions and changes to access, permission or security settings. Execution through Needs requires individual confirmation for each specific action or is blocked.
Needs may reject Actions, require additional confirmation or restrict an approval option for security, compliance, budget or abuse-prevention reasons.
In an organization-related Workspace, Chats are shared by default with the group of authorized recipients identified in the interface. The current visibility must be clearly recognizable before the first input and throughout use.
The User may set a Chat to private before the first message and during further use, or share it specifically with additional Users. Before any visibility change, the Platform indicates whether the change also affects the previous conversation history.
In normal operation, private Chats are visible only to the User and recipients expressly authorized by that User. Workspace administrators do not automatically receive access to private Chat content solely because of their role. The narrowly limited operational access described in Section 11 remains unaffected.
If a shared Chat is subsequently set to private, Needs cannot reverse the fact that previously authorized recipients may already have viewed or lawfully stored content.
Users may share Chats only with persons authorized to receive the content. Before sharing third-party data, trade secrets or confidential employee data, the required authorization must be verified.
Workflows are created as drafts, validated and become executable only after explicit activation. Changes to an active Workflow take effect only after it is published again.
Workflows may run manually or according to an agreed schedule. Other triggers apply only where they are expressly offered in the Workspace. An activated Workflow may also run while the User is not logged in.
Needs may provide test runs, versions, run histories, results, approvals and technical audit data. A test run must not represent an external Action as successful unless it was actually performed.
Personal Workflows are managed by the respective User. Team Workflows may be created, activated, changed, paused or terminated only by Users designated for this purpose in the role model.
The User must regularly review active Workflows, recipients, Connector permissions and budget limits. Needs may pause a Workflow if Credit is insufficient, a connection has expired, an approval has been withdrawn or a security risk exists.
The User may connect available external services through OAuth or other offered authorization methods. The currently available providers, permissions and Actions are displayed in the Workspace or the current Connector list.
A connection may be approved for personal or organization-wide use. Personal connections may be used only in the context of the authorizing User. Organization-wide connections may be used only in accordance with Workspace roles and approvals.
The User confirms that they are authorized to connect the external account and process the data accessible through it. The external service's terms and privacy notices apply in addition.
Needs stores long-term credentials only in the protected system intended for that purpose and does not provide them to AI Agents as part of ordinary Chat content. Technically necessary short-lived authorizations may be used for the specific Action.
Connections may be disconnected or revoked. The external provider may additionally require revocation within the provider's own account.
Needs is not required to offer a Connector permanently if the provider changes its interface, terms or approvals. The Customer's statutory rights remain unaffected.
Under the "EU and international" AI Processing Profile, Needs may additionally use AI model and infrastructure providers that are based in or process data in the United States or other third countries. Details of providers, regions and transfer safeguards are set out in the Privacy Policy.
Under the "EU/EEA only" AI Processing Profile, AI requests are processed through routes for which processing within the European Union or the European Economic Area has been confirmed technically and contractually. Functions or models that do not meet this profile are not available with this setting.
The AI Processing Profile covers only AI model processing. If the User activates a Connector to a provider outside the European Union or the European Economic Area, the transfer initiated by the User is additionally subject to that provider's terms and privacy rules. Payment, email, appointment and other operational services are likewise not automatically changed by the profile.
If a processing route confirmed for the European Union or the European Economic Area is not available for a function, Needs may restrict that function under the "EU/EEA only" profile or require separate confirmation from an authorized administrator before switching to international processing.
Needs does not use Chat, Workflow, Connector or other Customer content to train its own or third-party AI models or for its own product evaluation involving human review. For production AI processing, Needs selects contractual and API terms that exclude training use by the provider.
Needs does not conduct routine qualitative human review of Chat content or evaluate individual Users' performance or behavior based on that content.
Human access to Customer content is not part of regular service operation. Where access is required for a support, feedback or recovery case initiated by the User, to investigate a specific security or abuse risk, to comply with legal obligations, to handle legal claims or to remedy a documented production incident, Needs limits access to the necessary purpose and group of persons.
For an expressly commissioned Managed Service, authorized employees may process the configuration and content that the Customer specifically provides or makes available for onboarding, ongoing assistance, Agent optimization or support. Booking the service does not grant blanket access to all private Chats or documents. The scope, purpose and authorized group of persons are determined by the specific assignment; access is limited to what is necessary and logged in accordance with the procedure applicable to the relevant system.
Needs may evaluate metadata such as functions used, timestamps, session and dwell time, usage volumes, errors and technical performance in order to provide and secure the service and improve usability. Chat content is not semantically evaluated for usage analytics. Details and choices are set out in the Privacy Policy and Cookie Settings.
The User may use only content, personal data, accounts and systems that they are authorized to process or access.
In particular, special categories of personal data, third-party trade secrets, credentials or confidential employee data must not be entered or made accessible through Connectors without appropriate authorization.
The following are prohibited in particular:
a) unlawful, discriminatory, deceptive or harmful use,
b) spam, unauthorized scraping or automated bulk queries,
c) circumventing technical protection, budget or permission limits,
d) unauthorized access to systems or data,
e) AI practices prohibited under the EU AI Act, and
f) decisions concerning natural persons that produce legal or similarly significant effects unless all applicable requirements, in particular Article 22 GDPR and, where applicable, Regulation (EU) 2024/1689, are met. Confirmation or human review alone does not establish legal permissibility.
The Customer retains its rights to the content it provides.
For the term of the contract, the Customer grants Needs the non-exclusive rights necessary to provide, store, transmit, secure and process the content. This does not include use for general model training or Needs' own product evaluation involving human review.
Similar AI outputs may also be generated for other Users and may not be exclusive or legally protectable. Before publication or commercial use, the User must review third-party rights and the suitability of the content.
Needs retains all rights to the Platform, software, designs, trademarks, Agent configurations and other proprietary content.
The Plans, services and prices offered for new contracts are displayed in versioned form in the Platform's pricing area and in the ordering process. Fixed prices do not form part of these Terms.
The Plan, Seat, price, tax and term information confirmed in the ordering process or an individual offer, together with the service description applicable at that time, govern the contract.
Prices for entrepreneurs may be displayed net plus applicable taxes.
A new public pricing version does not change an existing contract. The agreed price remains unchanged for the current paid billing period.
Changes to the price applicable to an existing contract require the Customer's explicit consent and take effect no earlier than a subsequent billing period. Without consent, the contract continues unchanged. Either party may terminate it in accordance with the already agreed termination rules; Needs has no right to terminate before the end of an agreed fixed term.
Mandatory statutory changes to taxes or levies are handled in accordance with legal requirements and displayed transparently.
The scope and billing period of Included Usage are determined by the agreed Plan. Unused Included Usage expires at the end of the respective billing period unless otherwise specified in the Plan.
Once Included Usage has been consumed, chargeable Actions are performed only if sufficient Credit is available or the User has expressly approved an additional budget.
Additional Credit purchased by the Customer or granted by Needs is charged according to the calculation and consumption logic described at the time of purchase or grant. The applicable consumption factor and order in which balances are used must be apparent.
The value promised when Credit was purchased will not subsequently be reduced. Credit will not become negative.
Purchased Credit does not expire solely because the Plan is terminated. It may continue to be used after the Plan ends for as long as the account exists and the relevant function remains available. New Credit may be purchased without an active paid Plan only where this is expressly offered. If purchased Credit can no longer be used for its intended purpose after the Plan ends or the relevant function is discontinued, Needs refunds the portion of the purchase price corresponding to the unused Credit. Statutory rescission and refund rights remain unaffected.
Different conditions, in particular an expiry period, may apply to free bonus or promotional Credit if they are clearly displayed before the Credit is granted.
Credit is non-transferable and is not paid out in cash unless statutory refund rights apply. If the underlying purchase is refunded, related bonus Credit may be revoked.
Plan fees are due in advance at the beginning of the respective billing period. Credit purchases are due when the purchase is concluded.
Payments may be processed through Stripe or other payment methods offered in the ordering process. The respective payment provider's terms apply additionally to payment processing.
The statutory provisions apply in the event of payment default. After reasonable notice, Needs may block cost-incurring functions until outstanding amounts due have been paid.
Invoices and payment receipts are provided electronically.
Needs may offer a one-time purchase of a Plan voucher for a third party. The price, eligible Plan, redemption period, group of eligible recipients and further redemption conditions are displayed before the order and stored in the confirmation. The purchase contract is between Needs and the purchaser. If the voucher cannot be redeemed as intended for reasons attributable to Needs, the purchase price will be refunded.
All in One runs for an indefinite period and may be terminated at the end of the current monthly billing period.
Managed Service has an initial minimum term of six months. It then continues for an indefinite period and may be terminated at the end of the current monthly billing period unless a more favorable rule for the Customer has been agreed in the individual offer.
The term, renewal and termination of Enterprise are governed by the individual offer.
Termination may be declared through the Workspace where the function is offered for the relevant Plan, or in text form to Needs. Needs confirms termination in text form.
Ending a paid Plan does not automatically terminate the underlying account use agreement. Included Usage and Plan-dependent functions end with the Plan; the use of purchased Credit is governed by Section 15. Active Plan-dependent Workflows and Connector approvals are paused or terminated when the Plan ends.
The right to terminate for cause remains unaffected.
For All in One, Needs voluntarily grants a 30-day money-back guarantee for the first successfully paid subscription invoice.
The period begins when the first All-in-One subscription invoice is successfully paid. Later invoices do not start a new guarantee period.
A valid guarantee request must be submitted within the period through the function offered in the Workspace or in text form to Needs. Needs refunds the first subscription invoice in full to the original payment method and terminates the associated subscription.
Managed Service, Enterprise, top-ups, additional Credit and other one-time purchases are excluded from the guarantee. The guarantee does not restrict mandatory statutory warranty or refund rights.
Needs endeavors to maintain high availability but does not owe uninterrupted availability unless a separate service-level agreement applies. Maintenance, security measures and disruptions at external providers may temporarily restrict functions.
Needs provides the updates required to maintain contractual conformity and security during the statutory or agreed provision period. Mandatory statutory rights relating to omitted updates remain unaffected.
Needs may adapt functions to mandatory legal or security requirements, documented security or abuse risks and changes to external interfaces outside Needs' control.
If a change materially affects paid core services, Needs informs the Customer in advance within a reasonable period and takes the agreed termination and refund rights into account.
Needs may discontinue a function that can no longer be operated securely or lawfully. Paid services that are materially lost as a result will be appropriately replaced or refunded on a pro rata basis unless an equivalent alternative is provided.
Needs may temporarily restrict accounts, Workflows, Connectors or individual functions where there are specific indications of abuse, security risks, legal violations or material breaches of contract.
Unless immediate action is required, the Customer is first given a reasonable opportunity to remedy the issue.
Needs may terminate the contract without notice for cause, in particular in the event of serious or repeated abuse, intentional unauthorized access or material payment default.
For available self-service exports, Needs generally keeps access available for 30 days after the account use agreement ends. Data is then deleted or anonymized in accordance with the Privacy Policy. Statutory claims, retention obligations and payment claims already incurred remain unaffected.
Needs treats non-public Customer content as confidential and implements appropriate technical and organizational security measures.
Users must observe the visibility configured in the Workspace and share confidential content only with authorized persons.
Disclosures required by law and the involvement of contractually bound processors remain permitted.
Security-relevant details and credentials must not be published or used to circumvent protective measures.
Needs processes personal data in accordance with applicable data protection laws and the current Privacy Policy. The Privacy Policy is not a contractual term and does not require the User's consent.
The Customer ensures that it may lawfully introduce personal data of its Users, employees and other third parties into the Platform and have such data processed through Connectors.
Where the Customer determines the purposes and means of processing its own data through the Platform, it remains responsible for its data protection obligations. Any required data processing agreement is concluded separately.
Statutory warranty rights apply unless otherwise validly agreed in an individual contract.
Needs is liable without limitation in cases of intent and gross negligence, for damages arising from injury to life, body or health, under the German Product Liability Act and in cases of mandatory statutory liability or an expressly assumed guarantee.
In the event of a slightly negligent breach of a material contractual obligation, Needs is liable only for the foreseeable damage typical for the contract. Material contractual obligations are obligations whose fulfillment is essential for proper performance of the contract and on whose compliance the Customer may regularly rely.
Otherwise, liability for slight negligence is excluded to the extent permitted by law.
AI outputs, proactive suggestions and Workflow results must be reviewed by the User according to their significance. This obligation does not affect Needs' liability for its own breaches of duty.
Needs is not liable for disruptions that lie exclusively within the area of responsibility of an external service selected by the User. Needs' liability for its own selection, integration or information obligations remains unaffected.
The above limitations apply accordingly in favor of Needs' legal representatives, employees and agents.
Changes to these Terms become effective for existing contracts only with the Customer's explicit consent, unless the change is solely legally advantageous to the Customer or is a mandatory statutory adjustment that leaves no discretion.
Without consent, the contract continues unchanged. Either party may terminate it in accordance with the already agreed termination rules; Needs has no right to terminate before the end of an agreed fixed term.
The version applicable when the contract is concluded or later consent is given is provided to the Customer on a durable medium.
The law of the Federal Republic of Germany applies, excluding the United Nations Convention on Contracts for the International Sale of Goods.
In relation to merchants, legal entities under public law and special funds under public law, the registered office of Needs is the place of jurisdiction; Needs may also bring proceedings at the Customer's general place of jurisdiction.
The contract language is German.
If any provision of these Terms is or becomes invalid, the remaining provisions remain effective. The statutory provisions apply in place of the invalid provision.
Needs recommends an appropriate autonomy level for Connector Actions. Within the available security limits, the User decides whether an Action: a) is not permitted, b) must be confirmed each time, c) is approved once or for a session, or d) is permanently approved for a specific Agent, Connector or Workflow.
The following are prohibited in particular: a) unlawful, discriminatory, deceptive or harmful use, b) spam, unauthorized scraping or automated bulk queries, c) circumventing technical protection, budget or permission limits, d) unauthorized access to systems or data, e) AI practices prohibited under the EU AI Act, and f) decisions concerning natural persons that produce legal or similarly significant effects unless all applicable requirements, in particular Article 22 GDPR and, where applicable, Regulation (EU) 2024/1689, are met. Confirmation or human review alone does not establish legal permissibility.
